I. Acceptance of These Terms

These Terms of Service ("Terms") form a binding agreement between you and VER CLIMA PROPERTIES LLC ("the Firm," "we," "us," or "our"), located at 10883 Pearl Rd Ste 101, Strongsville, OH 44136, United States. They govern your use of our website at www.vercli.shop (the "Site") and your engagement with our property management, appraisal, escrow, and advisory services.

By using the Site, requesting a consultation, or engaging our services, you agree to these Terms. If you do not agree, do not use the Site or our services.

II. Who We Are

VER CLIMA PROPERTIES LLC is an Ohio limited liability company practicing residential and commercial property management, resort and vacation property management, real estate appraisal, real estate escrow agency and agent services, fiduciary services, listing services, landman services, asset management, and real estate consulting.

3.1 Practice Divisions

Our registered scope covers:

• Residential property management — apartments, condominiums, cooperatives, and residential real estate;
• Commercial property management — commercial, nonresidential, and commercial condominium real estate;
• Resort and vacation property management — seasonal and resort assets;
• Real estate appraisal — independent valuation services;
• Escrow, fiduciary, and advisory — escrow agencies and agents, fiduciary offices, listing services, landman services, asset management, and consulting.

3.2 Informational Content

Site content describes our service scope in general terms. It is not an offer to perform services, a quote of fees, or professional advice for any specific property or transaction. Service availability and terms are confirmed only in a written engagement.

IV. Engagements

4.1 Consultations

Submitting a consultation request through the Site, email, or phone does not create a client relationship or an engagement. A professional relationship exists only when both parties execute a written engagement letter or management agreement.

4.2 Engagement Letters

Every engagement is governed by its written agreement, which controls scope, fees, reporting, term, termination, and the parties' responsibilities. Where these Terms conflict with a signed engagement document, the engagement document governs for that matter.

4.3 Fees

Fees are set per engagement — flat, percentage-based, hourly, or transaction-based as stated in the agreement. Third-party costs (vendor work, filing fees, appraisal expenses) are billed as disclosed in the engagement.

4.4 Termination

Management and service agreements specify their own notice and transition provisions, including record handover and final accounting.

V. Property Management Terms

5.1 Authority

Management authority — leasing, vendor engagement, expenditure limits, and legal actions — is defined in each management agreement. We do not act outside the authority granted in writing.

5.2 Owner Obligations

Owners engaging management services agree to:

• Provide accurate ownership, insurance, and property documentation;
• Maintain required insurance on the property;
• Fund reserves and approved expenditures as agreed;
• Disclose known defects, hazards, and legal matters affecting the property.

5.3 Vendor Work

We engage third-party vendors for maintenance and repairs under competitive bidding where practicable. We coordinate and document vendor work but are not the contractor of record for trades performed by licensed third parties.

5.4 Emergency Authority

Where immediate action is required to protect life or property, management agreements typically grant emergency expenditure authority within stated limits.

VI. Escrow, Fiduciary & Appraisal Terms

6.1 Escrow Services

Escrow engagements are performed under written escrow instructions agreed by the transaction parties. We act as a neutral stakeholder and do not release funds or documents except as the instructions and law permit.

6.2 Fiduciary Services

Fiduciary engagements are governed by the instrument creating the appointment and applicable law. Our fiduciary duties run to the defined beneficiaries or parties as specified.

6.3 Appraisal Independence

Appraisal opinions are independent professional judgments. The intended use, effective date, and limiting conditions of each appraisal are stated in the report; appraisal reports may not be used outside their stated intended use.

VII. Acceptable Use of the Site

You agree not to:

• Use the Site for any unlawful purpose or to violate any applicable law;
• Submit false, misleading, or fraudulent information through forms;
• Interfere with the Site's operation, probe its security, or introduce malicious code;
• Scrape, harvest, or mass-collect content or contact data from the Site;
• Impersonate the Firm or another person, or misrepresent your affiliation;
• Use the Site in a way that could damage our operations or reputation.

We may block access for users who violate these rules and take legal action where appropriate.

VIII. Intellectual Property

The Site and its contents — text, graphics, layout, illustrations, marks, and design elements — are owned by or licensed to VER CLIMA PROPERTIES LLC and protected by copyright, trademark, and other laws. You may view the Site for personal, non-commercial use. Reproducing, distributing, or repurposing Site content without written permission is prohibited.

IX. Third-Party Services

The Site may reference third-party services — county record systems, payment processors, or industry platforms. We do not control and are not responsible for their terms, availability, or practices. Your use of any third-party service is governed by its own terms.

XI. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VER CLIMA PROPERTIES LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA — ARISING FROM YOUR USE OF THE SITE.

FOR CLAIMS ARISING FROM PROFESSIONAL ENGAGEMENTS, LIABILITY IS GOVERNED BY THE APPLICABLE ENGAGEMENT AGREEMENT. WHERE LIABILITY CANNOT OTHERWISE BE EXCLUDED, OUR TOTAL AGGREGATE LIABILITY RELATING TO SITE USE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

XII. Indemnification

You agree to indemnify and hold harmless the Firm and its members, managers, employees, and agents from claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.

XIII. Governing Law & Disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Disputes shall be resolved in the courts located in Ohio, and you consent to their jurisdiction and venue.

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. Our failure to enforce a provision is not a waiver of it.

XIV. Contact & Changes

We may revise these Terms from time to time; material changes will be posted on this page with a revised date. Continued use of the Site after changes constitutes acceptance.
